SnAPI Terms of Service

Welcome to SnAPI! These Terms of Service ("Terms") govern your access to and use of the SnAPI platform, website, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. Acceptance of Terms

By using SnAPI, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy (https://makeitsnapi.com/utility-pages/privacy-policy), and any other policies or guidelines referenced herein. We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on the Services and updating the "Effective Date" above. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

2. Description of Services

SnAPI provides a platform that allows users, primarily engineers and system architects, to build AI agents on top of existing APIs and databases. Users can create agents with chat interfaces, automatically document backend code, and share these agents with their teams for the purposes of system analysis and ad-hoc business requests. The Services also include the ability to host these agents for team and user access.

3. Account Creation & Responsibility

Account Creation: To access certain features of the Services, you may need to create a SnAPI account.
Accuracy of Information: You agree to provide accurate, current, and complete information during the account registration process and to update such information to keep it accurate, current, and complete.
Account Security: You are responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account.
Unauthorized Use: You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to comply with these requirements.
Account Termination: We reserve the right to suspend or terminate your account and access to the Services if you violate these Terms or engage in any activity that we, in our sole discretion, deem harmful or inappropriate.

4. Your Content and Intellectual Property

Ownership: You retain ownership of any content, including but not limited to data, code, documentation, prompts and information, that you upload, create, or generate within the Services ("Your Content").
License to SnAPI: By using the Services, you grant SnAPI a worldwide, royalty-free license to use, modify, reproduce, distribute, and display Your Content solely for the purpose of providing and improving the Services, including making Your Content available to your team or users of the agents you create. This license is solely for the operation of the service.
Restrictions: You represent and warrant that you have all necessary rights to Your Content and that its use by SnAPI will not infringe upon the intellectual property rights or other rights of any third party.

5. Acceptable Use & Code of Conduct

You agree to use the Services in compliance with all applicable laws and regulations and with the following guidelines:

Prohibited Activities: You will not use the Services for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Services or interfere with any other party's use of the Services. This includes, but is not limited to, attempting to gain unauthorized access to the Services, other users' accounts, or computer systems or networks connected to the Services.
Content Restrictions: You will not upload, create, or share any content that is illegal, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
No Scraping or Reverse Engineering: You will not attempt to reverse engineer, decompile, or disassemble any portion of the Services or attempt to extract the source code.
Compliance with Data Protection: Your use of the Service must comply with all applicable privacy laws, including PIPEDA.

6. Data Protection and Privacy (PIPEDA Compliance)

Data Collection: SnAPI collects and processes data as described in our Privacy Policy. By using the Services, you consent to the collection, use, and disclosure of your information as outlined in the Privacy Policy.
Purpose Limitation: SnAPI will only collect, use, and disclose personal information for the purposes of providing and improving the Services, as identified in our Privacy Policy and these Terms.
Consent: Where required by PIPEDA, SnAPI will obtain your consent before collecting, using, or disclosing your personal information.
Security Measures: SnAPI implements reasonable security measures to protect your personal information from unauthorized access, use, or disclosure.
Individual Access: Subject to certain legal exceptions, you have the right to access and correct your personal information held by SnAPI. Please refer to our Privacy Policy for more information on how to exercise these rights.
Third-Party Processing: SnAPI may use third-party service providers to process your data. We will ensure that these providers have appropriate data protection measures in place.
Data Breach Notification: In the event of a data breach that poses a real risk of significant harm to an individual, SnAPI will comply with PIPEDA's requirements for notifying the Privacy Commissioner and affected individuals.
Canadian Law: This agreement and the services it provides is governed by the laws of Canada.

7. Third-Party Services

The Services may integrate with or provide access to third-party applications, websites, or services. SnAPI is not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is subject to their respective terms and conditions.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SNAPI, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES, EVEN IF SNAPI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL SNAPI'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE AMOUNT YOU PAID, IF ANY, FOR ACCESS TO THE SERVICES DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SnAPI does not guarantee uninterrupted, secure, or error-free operation of the Platform.

10. Indemnification

You agree to indemnify and hold harmless SnAPI, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Services, or Your Content.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada. Any disputes arising out of or relating to these Terms shall be resolved exclusively in the courts of Ontario.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

14. Changes to these Terms
